Welcome to Tegrity Marketing. By accessing our website or using our services, you agree to be bound by the following terms and conditions. Please read them carefully.
1. Description of Services
Tegrity Marketing provides customized marketing solutions, including but not limited to:
- Website Services: Development, hosting, maintenance, and audits.
- Fractional CMO Services: Comprehensive marketing management, including social media management, content development, SEO, local listings management, and overall marketing strategy.
- Tegrity Connect CRM: A CRM tool powered by Go High Level, offering lead generation, social media scheduling, reporting, and more.
2. Payment Terms
Clients will receive invoices for services rendered on the first day of the month following the month in which services were performed. Payments are due within 30 days of the invoice date. No additional fees or expenses will be charged unless agreed upon in writing via email confirmation.
3. Term and Termination
- Term: Services commence on the agreed-upon start date and continue until the specified end date or until terminated as outlined below.
- Termination: Either party may terminate the agreement upon 30 days' written notice to the other party.
4. Intellectual Property Rights
- Work Made for Hire: All products and results of services provided by Tegrity Marketing ("Work") are considered "work made for hire" and are the sole property of the client upon full payment.
- Assignment: If any part of the Work is not considered a work made for hire under applicable law, Tegrity Marketing assigns all rights, title, and interest in the Work to the client.
- Social Media Contacts: Any social media contacts, including "followers" or "friends," acquired through accounts used or created on behalf of the client are the property of the client.
5. Confidentiality
Tegrity Marketing may have access to proprietary or confidential information of the client. We agree to:
- Non-Disclosure: Not disclose, use, or communicate any confidential information for personal benefit or to the detriment of the client.
- Protection of Information: Treat all confidential information as strictly confidential.
- Return of Information: Upon termination of services, return all confidential information, whether physical or electronic, to the client.
This obligation continues indefinitely, even after the termination of services.
6. Independent Contractor Relationship
- Status: Tegrity Marketing operates as an independent contractor.
- No Agency: We do not have the right to act as an agent for the client and must inform all involved parties accordingly.
- No Employee Benefits: Tegrity Marketing personnel are not entitled to employee benefits, including health insurance, paid vacation, or any other employee benefit provided by the client.
7. No Right to Act as Agent
Tegrity Marketing does not have the authority to enter into contracts or obligations on behalf of the client.
8. Entire Agreement
These terms and conditions constitute the entire agreement between Tegrity Marketing and the client, superseding all prior agreements or understandings.
9. Waiver of Breach
The waiver by either party of a breach of any provision does not operate as a waiver of any subsequent breach.
10. Severability
If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
11. Applicable Law
These terms and conditions are governed by the laws of the Commonwealth of Virginia.
12. Changes to Terms
Tegrity Marketing reserves the right to modify these terms and conditions at any time. Changes will be effective upon posting to our website.
